  • Advised SANRAL regarding a court review application brought against it in connection with the procurement process of a tender it had put out. SANRAL to oppose a Judicial Review Application launched by one of the disgruntled bidders in a tender with a total value of approximately ZAR400m.
  • Member of the team conducting a due diligence on the re-issue of the Transnet domestic medium-term note valued at US$4m.
  • Part of the team that advised Transnet on the procurement of a loan facility from Nedbank, including opinions on Transnet’s borrowing capacity and authority laws, and internal documents.
  • Advised Transnet on the credit facility agreement concluded with Agence Française de Development for the advancement of a credit facility of ZAR2bn to part-fund Transnet’s ZAR4bn programme to expand the Cape Town container terminal.

  • Acted as joint attorneys and legal advisers to the PIC in respect of a mezzanine facility agreement concluded between the PIC and a third party borrower, pursuant to which the PIC agreed to make a ZAR410m term loan facility available to the borrower.
  • Advised the PIC in a transaction that involved mining assets worth ZAR161m; conducting due diligence, drafting equity and finance agreements, negotiating and settling all equity, funding agreements and security documents.
  • Advised the PIC in respect of design, development, engineering, procurement, construction, financing, insuring and start-up of the 100 MW parabolic trough plant with a five-hour thermal energy storage system constructed in the Pofadder region, Northern Cape, in Round 3 of the Department of Energy’s IPP Procurement Programme.

  • Advised SAA in a transaction with two major banks in South Africa on the renewal of a ZAR3bn transaction revolving loan facility, including reviewing various term loan facility agreements and security documents, advising and providing a legal opinion on the legality and enforceability of various finance documents, corporate governance, the Companies Act and the Public Finance Management Act.
  • Advised SAA on a matter involving Telkom SOC Limited on applicable case law, drafting legal opinions, and reviewing the Master Services Agreement – VPN Solutions.
  • Provided a legal opinion on the status of the catering agreement for ZAR1bn concluded between SAA and one of its subsidiaries.
  • Reviewed of a term loan agreement of ZAR3bn and drafting the capacity and enforceability legal opinions.

  • Lead attorney on behalf of the BEE partner in Neotel (Nexus) in a transaction involving the acquisition of the entire issued share capital of Neotel by Vodacom to the value of ZAR7bn.
  • Advised the petroleum retailer in a transaction for the sale of a BP service station for ZAR4m, drafting the term loan facility agreement, security documents and sale of business agreement.
  • Advising the company on the implications of the business rescue provisions of the Companies Act, 2008 in respect of a Section 345 letter of demand.
  • Advised and provided a legal opinion to the SAT with regards to the interpretation of an Instruction Note from the National Treasury, the Public Finance Management Act 1 of 1999 and consideration of various aspects of administrative law.
  • Advised the Gauteng Tourism Authority on the feasibility of merging the two projects listed in terms of the Blue IQ Investment Holdings (Pty) Ltd Act 5 of 2003 with the Gauteng Tourism Authority into a single entity.
  • Advised Siemens on the manufacture and supply agreement and the technical support and spares agreement in respect of its bid on the PRASA Rolling Stock Fleet Renewal Programme.
  • Advised the Post Office on the roll-out of the set top boxes as part of the digital terrestrial television migration project.
